Terms of Service
These Terms govern your use of the PRE Member Portal (the “Portal”), software owned and operated by Eco York, LLC (“Eco York,” “we,” “us”) and provided for Professional Referral Exchange (“PRE”) chapters, their members, guests and sponsors. By signing in or using the Portal you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Portal.
1. Who we are
Eco York, LLC builds and runs the Portal. Chapter membership, meetings, dues and chapter rules are run by PRE and each chapter's leadership, not by Eco York. The Portal is a tool to help members give and track referrals, run meetings and share a directory; it does not make business introductions on its own.
2. Eligibility and accounts
- You must be at least 18 and using the Portal for business purposes.
- Members get access when their chapter leader approves or adds them. You sign in with your own email address; there are no passwords. Keep access to that email secure, and don't share sign-in codes or links.
- You're responsible for what happens under your account. Tell your chapter leader or us promptly if you think someone else has used it.
- Chapter leaders and PRE may deactivate a membership, and PRE may close a chapter, under PRE's own rules.
3. Referrals and other people's information
- Only share someone's contact information with their permission. When you give a referral, you confirm the person expects to be contacted by the member you're referring them to.
- Use contact details you receive only to follow up on that referral. Don't add referred contacts, guests or other members to marketing lists, sell or share their information, or use the directory for unsolicited bulk messages.
- Keep referral status and closed values honest; they drive chapter reports, points and badges.
- Guests you invite should know you're sending their details to the chapter.
4. Your content
You keep ownership of what you add: your business listing, logo, testimonials and notes. You give Eco York and PRE a non-exclusive, royalty-free licence to store, display and share that content as the Portal is designed to (for example, your listing in your chapter's directory, and in the public directory and website widgets if you choose to be listed), for as long as it's in the Portal. You confirm you have the right to use any logo or text you upload and that it is accurate and not misleading. We may remove content that breaks these Terms.
5. Acceptable use
Don't:
- scrape, bulk-export or harvest member, guest or referral information, or try to access another chapter's data;
- impersonate someone, create fake referrals, guests or check-ins, or otherwise game points, badges or reports;
- upload anything unlawful, infringing, harmful or offensive, or anything containing malware;
- interfere with the Portal's security or performance, probe for vulnerabilities without our written permission, or get around rate limits or access controls.
6. Points, badges and rewards
Points and badges recognize chapter activity. They have no cash value, can't be sold or transferred, and may be adjusted if they were earned in error or by breaking these Terms. PRE sets point values and may change them, which recalculates balances. Rewards and perks are offered by chapter members or sponsors, who are responsible for providing them; Eco York doesn't guarantee any reward.
7. Sponsors
Sponsorship terms, prices and payment are agreed between the sponsor and PRE (payment happens outside the Portal). Sponsors are responsible for the accuracy of their name, logo, tagline and links. Display rules (rotation, category exclusivity and the chapters included) are described when the sponsorship is quoted.
8. No guarantee of business
Referrals, suggestions and matches are shared in good faith, but neither Eco York nor PRE guarantees that any referral will lead to business, or the quality, licensing or conduct of any member, guest or sponsor. Business you do with another member, guest or sponsor is between you and them.
9. Availability and changes
We work to keep the Portal fast, secure and available, but it may occasionally be unavailable for maintenance or reasons outside our control. We may add, change or remove features. We keep regular backups, but you're responsible for keeping any records you need for your own business.
10. Ending your use
You can stop using the Portal and delete your account at any time in Profile & settings. We may suspend or end access for anyone who breaks these Terms, puts others at risk, or when their chapter membership ends. Sections 3, 4, 8, 11, 12 and 13 continue to apply afterward.
11. Disclaimers
The Portal is provided “as is” and “as available.” To the fullest extent the law allows, Eco York disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
12. Limitation of liability
To the fullest extent the law allows, Eco York will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business or data, arising from your use of the Portal or dealings with other members, guests or sponsors. Eco York's total liability for any claim relating to the Portal is limited to one hundred U.S. dollars ($100). You agree to indemnify Eco York against claims arising from content you add or your breach of these Terms.
13. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in York County, Pennsylvania, and you consent to their jurisdiction. Before filing a claim, please contact us so we can try to resolve it informally.
14. Changes to these Terms
We may update these Terms. We'll post the new version here with a new effective date and tell members by email of material changes. Continuing to use the Portal after that date means you accept them.
